MCA:
MCA has introduced Form AOC-5 for Notice of address at which books of accountare maintained by the company under the provisions of the Section 128 of the Companies Act, 2013. This Form AOC-5 is corresponding to the eForm 23AA as per section 209(1) of the Companies Act, 1956. Where the Board of Directors decides by passing the resolution to keep all or any of the books of account at any other place in India besides the registered office then, the company shall, within seven days of passing the Board Resolution, file this form giving full address of that other place in form AOC-5.
RBI:
RBI in order to have uniformity and clarity in respect of the computationof net-worth for an entity authorised under the Payment and Settlement SystemsAct, 2007 (PSS Act), it is advised that ‘Net-worth’ will consist of ‘paid up equity capital, free reserves, balance in share premium account and capital reserves representing surplus arising out of sale proceeds of assets but not reserves created by revaluation of assets’ adjusted for ‘accumulated loss balance, book value of intangible assets and Deferred Revenue Expenditure, if any’. This definition would apply for the purpose of all approvals under the PSS Act.
