The Ministry of Corporate Affairs has issued a circular no. 13/2015 dated 16th September, 2015 to provide extension of time by one month for the High Level Committee to submit its report on the Corporate Social Responsibility which has been empowered to suggest improved measures on Section 135 of the Companies Act, 2013 w.r.t Corporate Social Responsibility. The committee shall submit the report latest by 22nd September, 2015 as approved by the Hon’ble Union Minister of Corporate Affairs.


SEBI has released the amendment to the Securities and Exchange Board of India (Share Based Employee Benefits) Regulations, 2014, which may be called as the SEBI (Share Based Employee Benefits) (Amendment) Regulations, 2015 and shall come into force on the date of their publication in the Official Gazette. The definition of "employee" has now amended to exclude the employees of Associate Companies from the share based employee benefits norms. Further, under Regulation 31(2)(b)(iii) for the purposes of sub-regulation (9) of regulation 3 and ensuring compliance with the requirement of maintaining adequate public shareholding, those trusts holding shares of the company which are shown either as promoter‘ or public‘ shareholding, shall be permitted to continue to be shown them as such for a further period of only three years instead of five years.
