MCA:

Ministry comes out with extensive process of E-voting in General Meeting (GM) by substituting Rule 20 of Companies (Management and Administration) Rules, 2014 which shall come into force from the date of notification. Amongst the various amendments introduced, key amendments include introduction of new term "remote E voting"; exemption from e voting process for SME and ITP listed companies; extension in E voting period and changes in the provisions relating to public advertisement. Results of e voting shall not be announced till the completion of physical voting at the general meeting and e-voting process once announced for resolutions proposed to be considered through voting by electronic means shall not be withdrawn.

MCA with an intent to further the ease of doing business India has made amendments to the Companies (Share Capital and Debenture) Rules, 2014 which shall come into force from the date of notification. The much awaited amendments, provides various relaxations in compliance requirements in case of preferential offer to the existing members, procedural revisions in issuance of share certificate and duplicate share certificate, and changes relating to the provisions of debentures are some of the highlighted reforms brought under the amendment rules. Further in case of any loan taken by a subsidiary company from any bank or financial institution the charge or mortgage may also be created on the properties or assets of the holding company.
